Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of My Fraternity, a professional intelligence and community platform operated by Fraternity Ventures (“My Fraternity”, “we”, “us” or “our”).

By accessing the platform, creating an account, applying for membership, becoming a member, submitting content, using a marketplace feature, purchasing a service or otherwise using the Services, you agree to these Terms and the Privacy Policy.

If you do not agree with these Terms, please do not use the Services.

If you use the Services on behalf of a company or organisation, you confirm that you are authorised to bind that organisation to these Terms.

My Fraternity is a curated professional community designed primarily for HR leaders and professionals. Depending on your eligibility and membership level, the Services may include:

• Verified membership and professional networking.
• Discussion boards and peer knowledge sharing.
• Trending Topics, Insight Reports and Benchmarking Reports.
• Bespoke and platform-led surveys.
• Toolkits, concept notes, frameworks and other knowledge resources.
• Skill assessments and professional development features.
• A focused Marketplace for verified suppliers and service providers.
• Job posts, projects, partnership opportunities and other professional opportunities.
• Rewards, recognition and membership levels.
• Advisory and consulting services.
• Other features introduced from time to time.

Membership is selective. It may be offered by invitation or after an application and credential-verification process.

We may decide whether an applicant meets the requirements of a particular cohort. We may ask for additional information to verify professional eligibility.

Membership is personal to the approved member unless we expressly provide otherwise. You must not sell, lend, share or transfer your account or membership.

We may create different membership levels, access rights or cohorts. Features available to one level may not be available to another.

You agree to provide information that is accurate, current and complete and to keep it updated when it changes.

You are responsible for keeping your login details secure and for activity carried out through your account, unless the activity resulted from a security failure that was not reasonably within your control.

You must promptly tell us if you believe your account has been compromised.

We may suspend or refuse verification where information cannot reasonably be verified, appears misleading, or creates a material risk to the integrity of the community.

Each approved member will be given a unique member code. The member code is used to identify a member within the platform without publicly displaying the member's name.

Members must not attempt to identify another member behind an anonymous contribution, ask another member to reveal their identity, or use information from the platform to trace an anonymous contribution to a particular person.

My Fraternity may retain the internal link between a member code and the member account for legitimate administrative, security, verification and legal purposes.

• Use the Services honestly and for legitimate professional purposes.
• Only submit information, documents and opinions that you are entitled to submit.
• Respect confidentiality obligations owed to your employer, clients, colleagues and third parties.
• Do not disclose personal data, trade secrets or confidential information belonging to another person unless you have permission and a lawful reason to do so.
• Do not manipulate surveys, ratings, benchmarks or other community data.
• Keep your account information secure and do not impersonate another person or organisation.
• Comply with applicable laws and regulations wherever you use the Services.

My Fraternity is intended to be a serious professional environment. You must not use the platform to harass, threaten, defame, discriminate against, intimidate or unlawfully target another person.

Members must not post or express personal social, political, national or religious views, opinions, campaigning or commentary on the platform, regardless of whether such views are expressed directly or by way of comment on another member's post. Content of this nature has no relation to the professional purpose of the Services described in Clause 2 and will be taken down, whether or not a complaint has been raised, and irrespective of whether the content is otherwise lawful.

You must not post content that is unlawful, knowingly false and materially misleading, fraudulent, obscene, threatening, invasive of privacy, infringing of intellectual-property rights, or intended to cause harm.

We may moderate or remove content where reasonably necessary to protect the community, comply with law or enforce these Terms.

You retain ownership of original content that you submit to My Fraternity, subject to the rights you grant below and any third-party rights in the content.

By submitting content, you grant My Fraternity a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt, analyse, organise, display and distribute that content as reasonably necessary to operate and improve the Services and to create the aggregated or anonymised professional intelligence described in the Privacy Policy.

As part of this licence, My Fraternity may make such changes to your content as are reasonably necessary to make it more presentable and appealing to the community, including changes to presentation, formatting, sequencing and punctuation, grammatical corrections, and the addition of thumbnails or images. Such changes will not alter the substantive meaning of your content, and this Clause 8 does not permit My Fraternity to publish your identity alongside anonymous content save as otherwise provided in these Terms.

For content that is intended to appear anonymously, the licence does not give My Fraternity permission to publish your identity alongside that content merely because you submitted it.

You confirm that you have the rights and permissions necessary to submit the content and that doing so does not breach a confidentiality, employment, contractual or legal obligation.

You must not submit content that discloses your employer's or client's confidential or proprietary information (including internal compensation, workforce or HR data outside an approved survey or benchmarking feature), another person's personal data, or a trade secret, unless you are authorised to make that disclosure and it is submitted through the specific platform feature designed for that purpose (such as an approved survey, benchmarking submission, or an anonymised discussion contribution).

My Fraternity is built around confidential professional exchange. Where a feature is described as anonymous, we will take reasonable steps to keep your identity separate from the published contribution.

Anonymity is not a guarantee of absolute secrecy in every circumstance. We may need to identify or disclose information where required by law, court order, regulatory process, to protect the platform or users from serious harm, or to investigate fraud, security incidents or abuse.

You are responsible for avoiding details that could identify you or another person indirectly. For example, a highly specific employer, project, location, job title or event may make a contribution recognisable even if your name is not shown.

Posting and participating in ordinary discussions is free for members, subject to these Terms and any applicable community rules.

Members may request to start a discussion group, poll or similar member-led activity. Such activities are subject to review and approval by My Fraternity before they are made available on the platform. Approval is discretionary and may depend on the proposed topic, professional relevance, member interest, moderation requirements and legal or compliance considerations.

Where a poll is approved and conducted through the platform, My Fraternity may compile the responses into a report. The resulting report may be uploaded to the platform and made available to members. The report will be prepared in an aggregated or anonymised form where appropriate and will not ordinarily identify individual respondents.

My Fraternity may reject, pause, modify or remove a proposed community or poll where it considers the subject unsuitable for the platform or where it may create legal, privacy, safety or reputational concerns.

Content concerning social or political views or opinions, religious beliefs, religion, political campaigning or political affiliation, national or ethnic commentary, personal health or other sensitive personal matters is not permitted and will be taken down in accordance with Clause 7, save to the limited extent such content is directly relevant to a legitimate professional purpose described in Clause 2 and does not create a privacy or legal risk. My Fraternity may also remove discriminatory, hateful, harassing or inflammatory content.

Survey results, member contributions and other sources may be combined to create reports, benchmarks, trends, toolkits and other professional intelligence.

The platform may use statistical, editorial and research methods to remove identifiers, combine responses, suppress small samples and present information at an appropriate level of aggregation.

Reports and intelligence are provided for professional information and decision support. They are not a guarantee that a particular strategy, practice or decision will produce a particular result.

Where a report contains legal or regulatory material, it is intended as general information and should not be treated as legal advice for a specific matter.

For the purposes of these Terms, a "Supplier" includes any registered business entity, as well as an individual acting in an independent or professional capacity, including freelancers, independent consultants and gig-economy workers, who offers goods or services through the Marketplace. References in this Clause 12 to a Supplier apply equally to both categories, and eligibility and verification requirements will be adapted to the form of proof reasonably available to the relevant category of Supplier (for example, business registration or trade licence details for an entity, and identity, portfolio, references or platform-based work history for an individual Supplier).

The Marketplace is a focused directory and discovery space for relevant Suppliers. A Supplier may be subject to an eligibility or verification process before listing.

Verification does not mean that My Fraternity guarantees the Supplier's products, services, financial position, qualifications, regulatory status or performance. Members should carry out their own checks before engaging a Supplier.

Supplier listings, descriptions, pricing, availability and claims are primarily the responsibility of the Supplier. My Fraternity may correct, restrict, suspend or remove listings that are inaccurate, misleading, unlawful or inconsistent with the platform.

Any contract for goods or services between a member and a Supplier is between those parties unless My Fraternity is expressly identified as a contracting party. Where an individual Supplier is engaged, the member acknowledges that such Supplier may not be a registered business entity and that the member remains responsible for any engagement-specific formalities (such as consultancy or service agreements) appropriate to that Supplier's status.

Members may rate or review suppliers they have genuinely engaged. Reviews should be based on actual experience and should be fair, relevant and truthful.

You must not post fake reviews, pay for reviews, review a competitor dishonestly, manipulate ratings, threaten a supplier to obtain a benefit, or disclose confidential information.

We may moderate, label, refuse, edit for formatting, or remove reviews where reasonably necessary to protect the integrity of the Marketplace or comply with law. We do not guarantee that every review reflects our views.

The platform may display jobs, projects, partnerships, consulting opportunities or other professional opportunities submitted by members or third parties.

My Fraternity does not guarantee that an opportunity is genuine, available, suitable, financially sound or lawfully offered unless we expressly state otherwise.

You are responsible for your own due diligence and for the terms of any employment, consultancy, supplier, partnership or other relationship you enter into.

My Fraternity may, at its discretion and from time to time, introduce recognition, rewards, benefits, points, badges, membership levels or ownership-related benefits as part of member participation. This Clause 15 sets out the general framework that will apply to any such program; it does not, by itself, commit My Fraternity to introduce or continue any particular program, and no reward, benefit or membership level exists or is payable unless and until My Fraternity has actually introduced it.

Where My Fraternity introduces a particular program, its eligibility, calculation, redemption, vesting, expiry and other conditions may be described in additional program rules issued for that program. Where no such program rules have been issued, the general terms of this Clause 15 apply and no member shall be entitled to treat the absence of a live program as a right to any reward, benefit or membership level.

Unless expressly stated in writing, rewards do not create an employment relationship, partnership, agency relationship or ownership interest in Fraternity Ventures. Any actual equity, ownership or investment benefit must be governed by separate legally binding documents.

The My Fraternity name, brand, logos, software, platform design, reports, databases, editorial materials, research methods, graphics, text, compilations and other materials created or provided by My Fraternity are owned by or licensed to us and are protected by applicable intellectual-property laws.

You may use platform materials for your own internal professional and HR purposes where the relevant membership or service permits it. You must not copy, resell, scrape, republish, distribute, commercially exploit or create a competing database from the Services without our written permission.

You must not remove copyright, trademark, attribution or other proprietary notices.

Subject to these Terms and your continued eligibility, we grant you a limited, personal, non-exclusive, non-transferable and revocable right to access and use the Services for their intended professional purpose.

This license does not transfer ownership of the platform or any intellectual property to you.

My Fraternity is not a social media platform. Although certain features of the Services, such as the ability to post, comment and participate in discussion threads, may resemble the interaction model of platforms such as Reddit or LinkedIn, My Fraternity is a closed-membership professional network built exclusively for verified HR leaders and professionals, and is intended for professional HR and workplace-related intelligence, knowledge sharing and networking rather than general-purpose social networking.

Members should keep discussions, polls, communities and contributions connected to legitimate professional, workplace, HR, leadership, regulatory, business or related topics. Personal, social, political or religious matters that are unrelated to the professional purpose of the platform are not permitted and may be removed in accordance with Clause 7 and Clause 19.

• Using the platform to post or discuss social, political, national, religious or other views or opinions that have no relation to the professional purpose of the Services described in Clause 2; content of this nature will be removed without prior notice, in accordance with Clause 7.
• Using automated tools, bots, crawlers or scraping systems to collect platform content without written permission.
• Attempting to gain unauthorised access to accounts, systems, data or restricted areas.
• Introducing malware, harmful code or other material that could damage or disrupt the Services.
• Circumventing access controls, membership restrictions, verification processes or security measures.
• Using the platform to recruit, solicit or market in a manner that violates feature rules or creates unreasonable spam.
• Manipulating survey responses, benchmarks, rankings, rewards or reviews.
• Using platform content to build or train a competing database or commercial intelligence product without permission.
• Infringing another person's intellectual property, privacy or other legal rights.
• Using the Services for unlawful discrimination, fraud, impersonation, harassment, threats or other unlawful activity.

We may review or moderate content and activity when reasonably necessary to enforce these Terms, protect users, maintain platform integrity, investigate security or abuse, or comply with law.

Depending on the circumstances, we may warn a user, remove content, limit a feature, reduce visibility, suspend an account, terminate membership or take other reasonable action.

My Fraternity acts as a host of member-generated content and is not the author, editor or publisher of any post, comment, survey response, review or other content submitted by a member. We do not undertake to monitor every item of content, we do not endorse any member content, and, to the maximum extent permitted by applicable law, My Fraternity shall not be liable or responsible for any content posted by a member merely because it appears on the platform. Responsibility for content rests solely with the member who submitted it, subject to the indemnity at Clause 25.

My Fraternity may format, edit, realign and add images or thumbnails to the members content to make it more visually appealing on the platform. My Fraternity undertakes that the original content posted by a user will be not be edited in terms of text, but edited to look visually appealing on the platform.

If you believe content violates these Terms or your rights, contact us with enough information for us to assess the issue.

We will make reasonable efforts to keep the Services available, but we do not guarantee uninterrupted or error-free operation.

We may add, change, suspend or discontinue features, content or parts of the Services. Where a material change affects a paid service, we will handle the change in accordance with the applicable order, subscription terms and mandatory law.

We may carry out maintenance, security updates and other work that temporarily affects access.

Paid Services, where offered, may be available through different subscription options. The applicable price, billing cycle, taxes, renewal terms, payment method, cancellation rights and refund terms will be shown before you complete the purchase.

Payments are processed through an independent, PCI-DSS compliant third-party payment gateway selected by Fraternity Ventures (“Payment Gateway”). The current Payment Gateway is: Stripe.

My Fraternity does not receive or store your full card number, CVV or other complete payment credentials where those details are collected and processed directly by the Payment Gateway. The Payment Gateway may collect, process and retain payment information under its own terms and privacy policy.

If a payment fails, the Payment Gateway may attempt to process the payment again in accordance with its own systems and the payment arrangement selected by you. My Fraternity may allow up to [TWO/THREE] payment attempts before restricting or suspending access to the relevant paid Service.

My Fraternity is not responsible for failures caused solely by the Payment Gateway, your bank, card issuer or other payment provider, although we will reasonably assist with payment-related support.

Any mandatory consumer rights, cooling-off rights, cancellation rights or refund protections under applicable law remain unaffected by these Terms.

The Services provide professional information, peer intelligence and tools to support decision-making. They are not a substitute for professional advice, independent verification or organisation-specific analysis.

We do not guarantee the accuracy, completeness, timeliness or usefulness of every item of user-generated or third-party content.

We do not guarantee that any report, benchmark, survey, supplier, opportunity, recommendation or platform feature will meet your particular needs or produce a particular commercial or professional result.

To the maximum extent permitted by applicable law, the Services are provided on an “as available” basis.

My Fraternity shall not represent the user/members/supplier/partners in any proceedings before a judicial/ quasi-judicial authority including representation, appearance, or conduct of any litigation, arbitration, or proceedings before any judicial or quasi-judicial authority.

To the maximum extent permitted by applicable law, My Fraternity and its directors, officers, employees, advisers, affiliates and service providers will not be liable for indirect, incidental, special, consequential or punitive losses, or for loss of profits, revenue, business opportunity, goodwill, data or anticipated savings arising from your use of the Services.

To the extent liability cannot be excluded, our total liability arising from a particular paid Service will, subject to mandatory law, be limited to the amount you paid to us for that Service during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited, including liability for fraud or any other liability that applicable law prohibits us from excluding or limiting.

You, and where applicable any partner or Supplier using the Services, agree to defend, indemnify and hold harmless My Fraternity and their respective directors, officers, employees and service providers from any and all third-party claims, losses, liabilities, damages and reasonable legal costs arising out of:

• your material breach of these Terms;
• your unlawful use of the Services;
• content or information you submit where you did not have the right or permission to submit it; or
• your fraud, wilful misconduct or infringement of another person's intellectual property, privacy or other legal rights; or
• your use of the Services, the Marketplace or the platform, including any goods, services or content you offer, supply, review or receive as a member, partner or Supplier.

We will give you reasonable notice of an indemnified third-party claim where legally permitted and reasonably practicable. We will have reasonable control of the defence and settlement of the claim, and we will not agree to a settlement that imposes a non-monetary obligation on you or admits your liability without your consent, unless required by law.

This indemnity is intended to operate broadly in favour of Fraternity Ventures. It does not apply only to the narrow extent a claim results from My Fraternity's own fraud, wilful misconduct, or liability that cannot lawfully be transferred to you as a matter of applicable law. Nothing in this clause limits any liability that cannot legally be limited.

Our Privacy Policy explains how we collect, use, disclose and protect personal information. By using the Services, you acknowledge that your information will be handled in accordance with that policy and applicable law.

The Privacy Policy forms part of these Terms.

The Services may use or link to third-party websites, payment services, analytics tools, communication services or other products. Those third parties may have their own terms and privacy policies.

We are not responsible for the content, security, availability or practices of third-party services except to the extent required by law.

You may stop using the Services at any time. If your account includes a paid arrangement, cancellation will be handled according to the applicable subscription or order terms.

We may suspend or terminate access where you materially breach these Terms, create a serious risk to the platform or another user, provide materially false verification information, engage in fraud or abuse, fail to pay amounts properly due, or where suspension or termination is required by law.

Where reasonably possible, we will provide notice and an opportunity to address a breach, but this may not be appropriate where immediate action is needed to protect users, security or legal interests.

On termination, rights that by their nature should continue will remain in effect, including intellectual-property rights, confidentiality-related provisions, liability limitations, indemnity obligations and dispute provisions.

My Fraternity may be accessed by users from different countries. At launch, the platform's principal target market is the Middle East and GCC region, while the Services are intended to be capable of supporting members in other jurisdictions.

Users are responsible for ensuring that their use of the Services and any content they submit complies with the laws applicable to them.

These Terms shall be governed by and construed in accordance with the laws of India. The courts at Surat, Gujarat shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

Entire agreement. These Terms, together with the Privacy Policy and any feature-specific terms, form the agreement between the user and Fraternity Ventures regarding the relevant Services.

Severability. If a provision is held invalid or unenforceable, the remaining provisions will continue to apply, and the invalid provision will be adjusted only to the minimum extent necessary where permitted.

No waiver. A failure to enforce a provision immediately does not mean that we waive our right to enforce it later.

Assignment. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer our rights and obligations as part of a restructuring, merger, financing, sale or similar transaction, subject to applicable law.

Language. English is the primary language of these Terms.

Local mandatory rights. Nothing in these Terms is intended to remove or reduce any right that applicable law does not allow us to exclude.
